1. Acceptance of Terms

By downloading, installing, or using the PointClub or PointClub Merchant mobile applications ("Apps"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Apps.

These Terms constitute a legally binding agreement between you and PointClub, operated from Pakistan.

2. Description of Service

PointClub provides a digital loyalty points platform that enables:

• Customers to earn and redeem loyalty points at participating merchants
• Merchants to create and manage loyalty programmes for their businesses
• Staff to process points transactions on behalf of merchants

PointClub does not process monetary payments. All financial transactions (purchases) occur directly between you and the merchant. PointClub only tracks the loyalty points associated with those transactions.

3. Account Registration

3.1 Eligibility

• You must be at least 18 years of age
• You must provide a valid Pakistani phone number (+92) and email address
• Merchant accounts must represent legitimate businesses operating in Pakistan

3.2 Account Security

• You are responsible for maintaining the confidentiality of your login credentials
• You must immediately notify us of any unauthorised access to your account
• We are not liable for losses arising from unauthorised use of your account
• Passwords must meet minimum security requirements (8+ characters, uppercase, lowercase, number, special character)

3.3 One Account Per Identity

Each email address and phone number may only be associated with one customer account. Merchants may register multiple businesses under different email addresses.

4. Loyalty Points

4.1 Nature of Points

• Points are earned based on purchase amounts at participating merchants
• The earning rate (PKR per point) is set by each merchant independently
• The redemption value (point to PKR discount) is set by each merchant independently
• Merchants may change their points earning and redemption rates at any time

4.2 Points Expiry

Points do not expire under the current system. However, we reserve the right to introduce expiry policies in the future with reasonable notice.

4.3 Points Are Non-Transferable

Points earned at one merchant cannot be used at another merchant. Points cannot be transferred between customer accounts.

4.4 Merchant Obligations

Merchants are solely responsible for honouring points redemptions at their establishments. PointClub acts only as a technology platform and does not guarantee the availability of redemption.

5. QR Code Transactions

• Points transactions are processed by scanning QR codes within the Apps
• QR codes are time-limited (5-minute expiry) and single-use for security
• You must not share, screenshot, or distribute QR codes to third parties
• Tampering with or forging QR codes is a violation of these Terms and may constitute a criminal offence under Pakistani law

6. Merchant Responsibilities

If you use PointClub Merchant, you additionally agree to:

• Provide accurate business information
• Honour points redemptions in good faith
• Manage staff accounts responsibly, including timely suspension of departed employees
• Comply with all applicable Pakistani laws and regulations
• Not use the platform for money laundering, fraud, or other illegal activities
• Maintain reasonable points earning and redemption rates

7. Staff Accounts

• Merchant owners are responsible for staff accounts created under their business
• Staff permissions should follow the principle of least privilege
• The approval workflow feature is provided for merchants who wish to review staff transactions
• Staff accounts may be suspended or deleted by merchant owners at any time

8. Prohibited Conduct

You agree not to:

• Create fraudulent transactions or manipulate points balances
• Use automated tools, bots, or scripts to interact with the Apps
• Attempt to gain unauthorised access to other users' accounts or our systems
• Reverse-engineer, decompile, or disassemble the Apps
• Use the platform for any illegal purpose
• Impersonate another person or entity
• Interfere with or disrupt the operation of the platform
• Exploit QR code vulnerabilities or attempt replay attacks

9. Intellectual Property

All content, features, and functionality of the Apps — including but not limited to the design, code, graphics, and PointClub brand — are owned by PointClub and protected by intellectual property laws.

Merchants retain ownership of their uploaded logos and branding materials. By uploading content, merchants grant PointClub a non-exclusive licence to display that content within the Apps.

10. Limitation of Liability

• PointClub is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• We are not responsible for disputes between customers and merchants regarding the honouring of points
• We are not liable for losses due to service downtime, data loss, or technical failures
• Our total liability shall not exceed the amount you have paid to PointClub in the preceding 12 months (currently PKR 0 as the platform is free)

11. Service Availability

• We strive to maintain 24/7 availability but do not guarantee uninterrupted service
• We may suspend or discontinue the service with reasonable notice
• Scheduled maintenance will be communicated in advance when possible

12. Account Termination

• You may delete your account at any time by contacting support@pointclub.pk
• We may suspend or terminate accounts that violate these Terms
• Upon termination, your points balances will be forfeited
• Transaction records may be retained for legal and compliance purposes

13. Privacy

Your use of PointClub is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

14. Dispute Resolution

• Any disputes shall first be attempted to be resolved through good-faith negotiation
• If negotiation fails, disputes shall be referred to mediation or arbitration in Pakistan
• These Terms are governed by the laws of Pakistan
• The courts of Pakistan shall have exclusive jurisdiction

15. Changes to Terms

We may update these Terms from time to time. Material changes will be notified through the App or via email. Continued use of the Apps after changes constitutes acceptance of the updated Terms.
